AFRISELLERS SALES AND MARKETING AGENT AGREEMENT

This Agreement is made and entered into by and between:

Afrisellers.com, a platform for digital marketing and e-commerce services (hereinafter referred to as “Afrisellers”),
AND

1. PURPOSE

Afrisellers hereby appoints the Agent as an independent contractor to promote and facilitate the registration of companies, product listings, digital marketing services, and product referrals, subject to the terms and conditions set forth herein.

2. SCOPE OF WORK

The Agent agrees to perform the following services:

2.1. Company Registration and Product Listing

• Identify potential businesses and individuals interested in registering on Afrisellers.com.
• Assist such clients with the registration process and uploading product listings.

2.2. Sales and Marketing Services

• Promote Afrisellers’ digital marketing packages to clients.
• Facilitate the purchase or subscription of services offered by Afrisellers.
• Guide clients can leverage Afrisellers’ tools, including content posting, dashboard tools, and YouTube marketing packages.

2.3. Product Referrals

• Refer products or suppliers to potential buyers or markets.
• Facilitate connections between suppliers and consumers through Afrisellers.com.

3. COMMISSION

3.1. Commission Rate
The Agent shall earn a 25% commission on all completed transactions directly resulting from their work in the following categories:

• New company registration and product listing
• Sales and marketing service acquisition
• Product referrals that lead to completed sales

3.2. Payment Terms

• Commission payments shall be made within 15 business days of confirmed transaction completion.

3.3. Reporting and Validation
All agent-related leads and activities must be reported and tracked using Afrisellers' approved system or forms. Afrisellers reserves the right to validate the authenticity of the transaction before commission is issued.

4. OBLIGATIONS OF THE AGENT

• The Agent shall always act in good faith and the best interest of Afrisellers.
• The Agent shall not misuse, misrepresent, or distribute any confidential or proprietary information obtained through Afrisellers.
• The Agent shall connect suppliers to customers and ensure efficient and ethical handling of inquiries and transactions.

• The Agent must support new registrants by guiding them through Afrisellers’ systems and services.
• The Agent must identify the appropriate markets for the client’s products and services and ensure suitable recommendations.

5. CONFIDENTIALITY

The Agent agrees to maintain the confidentiality of all information, data, customer lists, pricing, strategies, and materials provided by or related to Afrisellers. Unauthorized use, sharing, or disclosure of such information is strictly prohibited and may result in legal action.

6. TERM AND TERMINATION

6.1. Term
This Agreement shall begin on the Effective Date and continue until terminated by either party.

6.2. Termination
Either party may terminate this Agreement by providing a written notice of at least 14 days. Afrisellers reserves the right to terminate the agreement immediately in the event of breach, misconduct, or misuse of information.

6.3. Post-Termination Rights
Upon termination, the Agent shall be entitled only to commission payments for completed transactions validated before the termination date. All marketing materials and confidential information must be returned or destroyed upon request.

7. INDEPENDENT CONTRACTOR STATUS

The Agent is an independent contractor. Nothing in this Agreement shall be interpreted as creating a partnership, employer-employee relationship, or joint venture. The Agent is responsible for their own taxes, insurance, and legal compliance.

8. GOVERNING LAW

This Agreement shall be governed and construed by the laws of the jurisdiction in which Afrisellers is registered.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties. No other verbal or written agreements shall be valid unless formally amended in writing and signed by both parties.

10. SIGNATURES

IN WITNESS WHEREOF, the parties have executed this Sales and Marketing Agent Agreement as of the Effective Date.
